Acceptance Criteria

A foreign-invested company limited by shares may apply for establishment when all of the following conditions are met:

1. Where the establishment of the company is subject to the Special Administrative Measures (Negative List) for Foreign Investment Access, it shall be applied for the approval of the relevant authority.

2. The number of initiators shall conform to the statutory number. For establishing a company limited by shares, there shall be two or more but not more than 200 initiators, and half of them must have a residence in China.

3. The share capital subscribed by initiators and raised from the general public shall reach the minimum amount of legal assets.

4. The issuance and preparations of shares shall conform to legal provisions.

5. The articles of association of the company shall be formulated by initiators and approved by the founding meeting.

6. The company shall have a name and an organizational structure required for the establishment of the company limited by shares.

7. The company shall have fixed premises and the necessary conditions for production and operation.

8. A company established by means of sponsorship shall, in addition to meeting the conditions for initiators stipulated in the Company Law, have at least one foreign shareholder who serves as the initiator.

Application Materials

1. Application Form for Registration (Filing) of Company

2. The articles of association (The articles of association of companies limited by liability shall be signed by all the shareholders. The articles of association of company limited by shares shall be signed by all the initiators.)

3. Certificate(s) of registration or ID of investor(s)

4. Appointment document and ID certification of directors, supervisors, and managers (please affix the copy on the application form and sign to confirm the appointment)

5. Proof of legal use of the residence and relevant documents

6. A foreign-invested company limited by shares shall submit a capital verification certificate issued by a legal capital verification institution. Initiators whose initial contribution involves non-monetary property shall summit documents to prove the transfer of property rights.

7. A company limited by shares which issued its shares to the public shall submit approval documents of the approving authority.

8. A copy of pre-approval documents or licenses issued by by the approving authority
